Terms of Service

These Terms of Service govern access to and use of Korix. They are written for organizations and people using Korix for business purposes. By creating an account, accepting an order form, joining an organization, or using the service, you agree to these terms.
1. The service and business scope
Korix is a gateway that lets organizations connect approved apps, tools, and services to supported AI clients. Korix may route tool requests, apply organization policies, request human approval, relay files, maintain knowledge features, and create audit records.
Korix is intended for business and professional use. If you accept these terms for an organization, you confirm that you have authority to bind it. If mandatory consumer law nevertheless applies to you, nothing in these terms excludes or limits rights that cannot lawfully be excluded or limited.
We may improve, add, remove, or change features over time. We will provide reasonable advance notice when a material change significantly reduces the core functionality of a paid service, unless an urgent security, legal, or third-party dependency issue makes advance notice impracticable.
2. Accounts and organizations
You must provide accurate account information, keep login credentials secure, and use reasonable measures to prevent unauthorized access. You are responsible for activity performed through your account and must notify us promptly if you suspect compromise or misuse.
Organization administrators may invite and remove members, assign roles, connect services, configure permissions and retention, approve actions, and access audit and usage information associated with the organization. Your organization is responsible for its administrators, configuration choices, user instructions, and lawful basis for processing data through Korix.
3. Orders, fees, and document priority
Paid plans, usage limits, fees, payment dates, taxes, renewal terms, and service-specific commitments are stated in the applicable order form. Unless an order form says otherwise, fees are exclusive of taxes and are non-refundable except where these terms or mandatory law require a refund.
If documents conflict, a signed order form controls over these terms for the subject it specifically addresses, and an applicable data-processing agreement controls for the processing of personal data. Additional product documentation governs operational details but does not silently override a signed agreement.
4. Connected services
Korix can connect to third-party apps, AI clients, MCP servers, browser-based services, and infrastructure selected by you or your organization. Your use of those services remains subject to their own terms and privacy notices. You authorize Korix to send instructions to and receive data from connected services as needed to perform your authorized requests.
We do not control third-party services and are not responsible for their availability, content, independent processing, or actions. You are responsible for obtaining the accounts, licenses, rights, permissions, and valid connection credentials required to use them. Korix is responsible only for its own service and does not expand the rights granted by a third-party provider.
5. Acceptable use
You may not use Korix to:
- break the law or violate another person's rights;
- access systems, accounts, or data without authorization;
- bypass security controls, approvals, or usage restrictions;
- upload malware, disrupt the service, or impose an unreasonable load;
- probe, scan, or test vulnerabilities without written permission;
- resell, sublicense, reverse engineer, or copy the service except as permitted by mandatory law or a written agreement with us;
- use the service to make prohibited high-risk or unlawful decisions about people; or
- use the service in a way that could materially harm Korix, our providers, connected services, or other users.
You must maintain appropriate human oversight for consequential actions and configure access and approval controls proportionate to the sensitivity of the connected systems and data.
6. Your data and data protection
As between you and Korix, you retain ownership of the data, instructions, configurations, and other content you submit to Korix. You grant us a limited, non-exclusive right to host, process, transmit, reproduce, and display that content only as needed to provide, secure, maintain, and support the service, comply with law, and carry out your organization's documented instructions.
You are responsible for your content and for ensuring that you have the rights, notices, and lawful basis needed for Korix and its subprocessors to process it. When Korix processes personal data on behalf of a customer, the applicable data-processing agreement governs that processing. Our handling of personal data for our own purposes is described in the Privacy Policy.
We do not use customer workspace content to train a general-purpose model for unrelated customers unless the customer separately agrees to that use in writing.
7. Our property
Korix and its software, design, trademarks, documentation, and other materials are owned by us or our licensors. Except for the limited right to use the service during the applicable subscription, no rights are transferred to you. Open-source components remain subject to their licenses.
Feedback you voluntarily provide may be used to improve Korix without restriction or payment, provided we do not publicly identify you as its source without permission.
8. Suspension and termination
You may stop using Korix at any time and may terminate a paid plan as stated in the applicable order form. We may suspend or terminate access if you materially breach these terms, create an immediate security or legal risk, fail to pay undisputed fees after notice, or use the service in a way that could materially harm others.
Where practical, we will give notice, explain the reason, limit a suspension to the affected account or capability, and provide a reasonable opportunity to remedy the issue. We may act immediately where necessary to prevent harm or comply with law. Following termination, customer access ends and data is exported, retained, or deleted according to the applicable agreement, configured retention, legal holds, and our Privacy Policy.
Provisions that by their nature should continue after termination, including payment obligations, ownership, confidentiality, disclaimers, liability limits, and dispute terms, will survive.
9. Service disclaimers
Korix is provided “as is” and “as available.” To the extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the service or any connected third-party service will always be uninterrupted, secure, or error-free.
AI-generated instructions and third-party tool results can be incomplete, outdated, or incorrect. You are responsible for reviewing outputs and configuring appropriate access, approval, testing, and human oversight before relying on the service for important decisions or actions. These disclaimers do not affect an express commitment in an order form or a warranty that cannot lawfully be excluded.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or business opportunities arising from the service, even if advised that such loss was possible.
Unless an order form provides a different cap, Korix's total aggregate liability for claims relating to the service will not exceed the amount paid or payable for the service during the 12 months before the event giving rise to the claim, or €100 if no fee was paid.
Nothing in these terms excludes or limits liability for fraud or fraudulent misrepresentation, willful misconduct, death or personal injury caused by negligence, breach of a liability that cannot be limited by law, or mandatory data-protection or consumer rights to the extent the law prohibits that limitation.
11. Changes to these terms
We may update these terms to reflect changes to Korix, applicable law, security needs, or our business. We will post the updated version and change the effective date. We will provide reasonable advance notice of a material change that adversely affects existing paid use, unless an urgent legal or security reason requires faster action.
Material changes apply prospectively. If you do not agree, you may stop using the service and terminate as permitted by the applicable order form before the change takes effect. Continued use after the effective date constitutes acceptance only to the extent permitted by law.
12. General terms
These terms and the applicable order form and data-processing agreement are the entire agreement about the service and replace prior discussions on the same subject. If one provision is unenforceable, it will be adjusted only as far as necessary and the remaining provisions stay in effect. A delay in enforcing a provision is not a waiver.
You may not assign the agreement without our consent, except in connection with a reorganization or sale of substantially all relevant assets where the assignee can meet the obligations. We may assign it as part of a merger, acquisition, reorganization, or sale of assets, with notice where required.
The governing law and courts stated in an order form apply. If there is no order form, the laws and courts of the place where the Korix contracting entity is established apply, without regard to conflict-of-law rules. This choice does not deprive a person of mandatory protections that apply under the law of their habitual residence.
